1. Agreement

These Terms of Service govern your access to and use of Sign and Go. By creating an account, using the service, or signing a document through the service, you agree to these terms.

2. Definitions

  • Service means the Sign and Go platform and related features.
  • Workspace means an organisation environment within the Service.
  • Customer means the entity that creates or administers a Workspace.
  • User means an account holder within a Workspace.
  • Signer means a person invited to view, approve, or sign a document.
  • Document means content uploaded or generated through the Service.
  • Envelope means a workflow package containing a Document, recipients, fields, and audit trail.
  • Content means Documents and any data you submit to the Service.

3. The Service

  • The Service provides tools for document workflow and electronic signing.
  • You are responsible for determining whether the Service is suitable for your purposes, including legal, regulatory, and evidentiary requirements.
  • We do not provide legal advice and do not guarantee that any document or signing workflow will be legally effective in every circumstance.

4. Accounts and security

  • You must provide accurate information and keep your account secure.
  • You are responsible for all activity under your account and for users you authorise within your Workspace.
  • Workspace administrators may manage access, permissions, and settings for users in their Workspace.
  • You must promptly notify us at info@signandgo.com.au if you suspect unauthorised access.

5. Acceptable use

You must not:

  • Use the Service to break any law or infringe the rights of others
  • Upload malicious code or attempt to disrupt the Service
  • Attempt to access another Workspace or data without authorisation
  • Use the Service for fraud, deceptive conduct, or unlawful content
  • Circumvent security controls, signing controls, or rate limits

We may suspend or terminate access for breach.

6. Content and permissions

  • You retain ownership of your Content.
  • You grant us a limited licence to host, process, transmit, and display Content solely to provide the Service, including sending invitations, enabling signing workflows, generating audit trails, and producing certificates.
  • You represent that you have all rights and permissions required to upload Content and invite recipients.

6A. AI features and service improvement

The Service includes AI-powered features such as intelligent field detection, document template customisation, and an in-app assistant. To provide and improve these features:

  • We may analyse anonymised, aggregated metadata derived from document workflows, including field type, page position, and document layout patterns. This metadata does not include the text content of your documents.
  • This analysis enables the Service to improve field placement accuracy, suggest optimal document layouts, and enhance AI-assisted features for all users.
  • We do not use the content of your documents, the substance of your agreements, or personally identifiable information for AI training, model development, or any purpose other than delivering the Service to you.
  • You may contact us to opt out of anonymised metadata analysis. Opting out does not affect your access to the Service but may reduce the accuracy of AI-assisted features for your account.

7. Electronic signing and evidence

  • The Service records workflow and signing events and may generate an audit trail and completion certificate.
  • You are responsible for confirming signer identity and ensuring the workflow settings meet your legal and compliance needs.
  • Signing links are intended to be shared only with intended recipients. You are responsible for addressing documents to the correct recipients.

8. Fees and billing

  • Fees, plan limits, and billing terms will be set out at purchase or in an order form.
  • Taxes may apply.
  • If payment is overdue, we may suspend access after reasonable notice.

9. Availability and changes

  • We aim to keep the Service available but do not guarantee uninterrupted access.
  • We may change, add, or remove features. Where practical, we will provide reasonable notice of changes that materially reduce core functionality for paid customers.

10. Confidentiality

  • Each party must keep the other party's confidential information confidential and use it only for purposes related to this agreement.
  • Confidential information does not include information that is public through no breach, independently developed, or lawfully received without restriction.

11. Third party services

  • The Service may integrate with third party services. Your use of third party services is governed by their terms.
  • We are not responsible for third party services.

12. Suspension and termination

  • You may stop using the Service at any time.
  • We may suspend or terminate access if you breach these terms, we reasonably suspect misuse, or we are required by law.
  • On termination, access ends. Content retention and deletion follow your plan and applicable settings where available.

13. Warranties and disclaimers

  • To the maximum extent permitted by law, the Service is provided as is and as available.
  • Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy under the Australian Consumer Law that cannot be excluded.

14. Liability

  • To the extent permitted by law and subject to non excludable rights, our liability is limited, at our option, to resupplying the Service or paying the cost of having the Service resupplied.
  • To the maximum extent permitted by law, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of data, or business interruption.
  • Our total liability arising out of or relating to the Service is limited to the fees paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim.

15. Indemnity

You indemnify us against claims arising from your Content, your breach of these terms, or unlawful use of the Service, except to the extent caused by our negligence or breach.

16. Governing law

These terms are governed by the laws of the Northern Territory of Australia. Each party submits to the courts of the Northern Territory and applicable federal courts.
